The shareholders of Youngtimers AG approved all motions of the Board of Directors at today's Annual General Meeting
At the 26th Annual General Meeting ("AGM") held today in Basel, the shareholders of Youngtimers AG approved all motions submitted by the Board of Directors.
The individuals nominated for election to the Board of Directors – Dr Rory Knight, Lorenzo Landini, Yin Pan (Ben) Cheng, and Henry Lee – were each duly elected. Dr Rory Knight was also confirmed as Chairman of the Board. Furthermore, Dr Rory Knight and Yin Pan (Ben) Cheng were elected to the Remuneration Committee. Dr Rory Knight was appointed by the Remuneration Committee as its chairman.
As previously announced in the ad hoc announcement dated 3 August 2025, Jue (Kirsten) Gao did not stand for re-election to the Board of Directors. Accordingly, no vote was held regarding her re-election to the Board of Directors and her election to the Remuneration Committee.
In line with the ad hoc announcement of 3 August 2025, no new auditor was submitted to the vote of the shareholders at the AGM to serve for the full term of one year. However, Berney Associés Audit SA agreed to stay for an interim period and was therefore re-elected as auditor until a new auditor will be appointed, but at the latest until 31 December 2025. The Board continues the discussions with several candidates and intends to finalize the engagement of a new auditor soon.
Also, the proposed amendments to the Articles of Association were confirmed, including the proposed opting-out clause and the change of the registered office of the Company from Basel to Zurich.
The motions of the Board of Directors under all other agenda items were approved as well.
